Referral Program Terms and Conditions

THESE TERMS AND CONDITIONS (“TERMS”) AND CERTIFY AN UNDERSTANDING OF EACH PARTY’S RESPONSIBILITIES THAT THEY UNDERTAKE AS SIGNED THE REFERRAL CONTRACT.
These Terms become binding on the date of signatures upon the Referral Contract.
The Terms are between,
(1) Referrer, who is an invited member into the Referral Program, and who has identified themselves in and signed the Referrer Contract.
And, one of, either;
(2a) The UNCONNECTED FOUNDATION is a charity registered with the Charities Commission of England and Wales and has its office at 124 City Road, London, EC1V 2NX, United Kingdom (“unconnected.org”) with its charity number as 1198420, for the Territory of Nigeria.
Or,
(2b) Unconnected.org Information Technology Services Organization Inc., which has its office at Unit 5A, 5F Hollywood Square Building, 33 West Avenue, Brgy. Nayong Kanluran, Quezon City, Philippines (“unconnected.org”) with its entity number as 2024100173030-02, for the Territory of the Philippines.
Or,
(2c) UNCONNECTED.ORG (“unconnected.org”), for the Territory of Kenya with company registration number CLG-BWTPA5O5 and company address as:

each a “Party” and collectively the “Parties”.
A. Introduction
This document (“Terms”) outlines the terms and conditions related to the Referral Program being conducted by unconnected.org with a select group of individuals to identify and refer leads for unconnected.org’s products and services that create high social impact, while maintaining the highest standards of transparency and legal compliance.
This programme is currently available in the Philippines, Malawi, Kenya, Nigeria, Mexico and Colombia.
It is available only to individuals pre-approved by unconnected.org and for individuals who have signed a specific agreement with unconnected.org (“Referrer Contract”) with unconnected.org that is a separate document.
The program operates as a sales agent structure, whereby unconnected.org always keeps the customer ownership and the Referrer may only refer to existing products and services as they are currently sold by unconnected.org. The Referrer is not an employee or contractor of unconnected.org.
1. The commission
unconnected.org offers a commission to external individuals ("Referrers") who successfully introduce new deals that lead to collected cash from the sale of unconnected.org “owned products.
Commission Rate: The commission rate is established by the unconnected Country General Manager with the Referrer in the Referrer’s individual Referrer Contract.
“Commission Period”: Commission will be payable per lead for a fixed 12 months from the date that the Referrer receives the Official Confirmation of Referred Lead Email for that specific lead. The commission will apply to all received cash payments from the referred customer in the Commission Period subject to meeting the Minimum Collected Cash cash payment to be eligible. Commissions are payable on the cash collected into an unconnected.org bank account from the referred customer in local currency for that month. For clarity, any revenue generated by that customer outside the first 12 months does not qualify. For the avoidance of doubt, the calculation is not a trailing commission for 12 months from the start date of a single line or service.
Eligibility: Open only to individuals (not companies) at Arms Length of the unconnected.org organisation and the customer. Arms Length is defined in section 2.
“Minimum Collected Cash” criteria: A lead is not eligible for any commission until it reaches and stays above the equivalent of US$1,000 and 10 service lines in a single month of collected cash. For the avoidance of doubt, once a referred customer exceeds the Minimum Collected Cash criteria, the revenues that they generated before they met the Minimum Cash Criteria will be eligible for the commission as well and will be paid at the next commission payment. Alternatively, if a referred customer cancels some lines and drops beneath the Minimum Collected Cash criteria, the referral commission payments will cease until it again reaches the criteria.
Eligible leads: Leads must be vetted first by unconnected.org management and must:
Fit our criteria that the lead is generating social impact. Implementations should therefore focus on connecting schools, medical centres, rural locations or free public WiFi in low income neighborhoods.
Introduce leads for customers that unconnected.org does not already have a relationship or a previous relationship within the last 24 months. A relationship includes discussions regarding the sales of unconnected.org’s products and services without necessarily having lead to a sale. The inclusion of a customer lead is the sole decision of unconnected.org.
Referral commissions cannot be claimed after the first sale with the customer has been made under any circumstances, and will not be eligible unless they follow the process outlined in these Terms.
Leads may only represent a customer in one single country. That is the individual Referrer Contract will be limited to apply only in one country. Should a Referrer operate in more they will need to sign multiple Referrer Contracts.
Specific exclusions: Certain rate plans where higher than usual discounts are applied may be excluded from eligibility for the programme at unconnected.org’s discretion. This will be communicated with the Referrers beforehand. For example, the Connectivity Credits rate plans will not be made available.
Eligible products and services: Eligible products and services are products that unconnected.org operates and bills the customer for directly (“unconnected.org Owned Products”). For clarity, grants are excluded from this programme as are commissions earned when we sell a partner’s product where unconnected.org only earns a commission only. Referrers are prohibited from marking up pricing above unconnected.org’s retail rates.
Cadence of commissions: Commissions are calculated monthly but paid to the Referrer quarterly.
2. Process to introduce a lead
For a lead to be eligible for the programme:
The Referrer must have a Referrer Contract signed with unconnected.org’s global C level global management prior to the referral.
The Referrer must have registered the lead with unconnected.org. The process will be a registration through our centralised Google Form which will be shared with the Referrer.
The form will provide a time stamp and the referral will then be promptly assessed by the Country Manager and at times global management.
After review of the submitted form, unconnected.org will provide an Official Confirmation of Referred Lead Email stating the approval or otherwise of the referral including reasoning should the referral not be approved.
That email will act as the valid proof of registration of the lead, ringfence the referred customer to the Referrer and provide the date that the Commission Period will commence.
unconnected.org will administer this process strictly and unless the Referrer has an eligible Official Confirmation of Referred Lead Email the commission will not be payable, without exception.
3. Key Rules
A. Independence Rule (The "Arm's Length" Requirement)
To ensure the integrity of the program, the Referrer must have no prior or existing vested interest in the referred lead.
The Referrer must not be an employee, contractor director, officer, or consultant of the referred entity.
The Referrer must not hold any shareholding, equity, or beneficial interest in the referred entity.
The Referrer must not be a close link of any key decision-maker within the referred entity or any staff within unconnected.org. A close link includes a family member of any kind including in-laws, business partners or employees of an adjacent business or from an extended friendship circle. The intent here is that the relationship between the Referrer and the lead and also the relationship with unconnected.org must be purely professional in nature.
Consequence: Any breach of this rule will result in immediate disqualification of the lead from the program and forfeiture of all pending commissions.
B. Anti-bribery & corruption policy
unconnected.org operates with a zero-tolerance policy toward bribery (aligned with the UK Bribery Act 2010 and FCPA and local laws in each country that unconnected.org operates).
No kickbacks: The commission must not be shared, in whole or in part, with any employee, contractor of the referred lead including their family and friends or any employee or contractor of unconnected.org including their family and friends. Breach of this rule will result in immediate termination of the referral agreement and may be reported to relevant legal authorities." For breaches involving unconnected.org staff or contractors breaches would trigger immediate termination for cause of their contracts with unconnected.org
Transparency: The Referrer must disclose to the referred lead that they may receive a commission for the introduction.
Prohibited acts: Referrers are strictly prohibited from offering anything of value (gifts, hospitality, or cash) to any individual to influence the awarding of a deal to unconnected.org.
Reporting: Any suspicion of bribery or "pay-to-play" activity will be reported immediately to the unconnected.org compliance officer.
C. Program modification & survival
Removal, suspension or amendment: unconnected.org reserves the right to modify, suspend or terminate this referral programme at any time without prior notice.
Survival of commission:
If the Referral Agreement is terminated with the Referrer, any deal already "Live" (where the first cash collection has occurred) will continue to accrue the commission for its remaining 12-month Commission Period.
Any deal that has been introduced by the Referrer that results in cash to be received by unconnected.org that is eligible for the program within the next 3 months after the termination date of the Referral Agreement will still qualify for the 12 month Commission Period.
D. No direct contract or employment with unconnected.org
Referrers are independent parties and must not represent themselves as employees or authorized resellers of unconnected.org.
In no way does the relationship between Referrer and unconnected.org constitute a contract of employment or paid contract. The incentives on offer are strictly a reward for passing leads to unconnected.org. Referrer has no obligations or targets and agrees that they are operating independently at all times.
Communications: It is important that the Referrer does not represent themselves as an employee or contractor of unconnected.org in any way and that this is made clear to the lead being referred. It is also vital that the Referrer does not represent themselves as a reseller or any kind of authorized reseller of the vendors of unconnected.org including but not limited to Starlink. Communications must be that the Referrer is authorized to refer leads to unconnected.org and that their authorization.
D. Claw back of commissions
On rare occasions where cash payments received by unconnected.org may be repaid or credited to a referred customer, and where the Referrer has previously earned commission from that payment, unconnected.org may recover those commissions. unconnected.org will first seek to apply a credit against future commissions, but in the event that it is not possible unconnected.org reserves the right to request and if necessary enforce that commission to be paid back. By agreeing to these Terms, Referrer acknowledges agreement to this condition.
4. Commission Payment Process
The unconnected.org Finance team will calculate the commissions quarterly.
Commissions are calculated each calendar quarter on actual cash collected in the bank account of unconnected.org, not on the "signed contract value."
unconnected.org’s finance team will provide a report within 14 days of the end of each calendar quarter to the Referrer of the collected cash from the referred client(s) and the subsequent commissions payable to the Referrer. This will be the sole “source of truth” when calculating the commissions. The Referrer may then raise an invoice to unconnected.org and the invoice will be paid within 14 days of receipt by bank transfer, less any taxes that may be required to be withheld under local laws. Cash payments are strictly not possible.
Commission payments will be made strictly in the same currency that the cash was collected for the referred customer in.
4. General Terms
A. Confidentiality and non-solicitation
Confidentiality: Both Parties agree to maintain strict confidentiality regarding non-public information, for example but not limited to pricing, lead data, strategies. This survives termination of the Referrer Contract and/or these Terms for three (3) years post-termination.
Non-Solicitation of Staff: For the duration and three (3) years post-termination of the Referrer Contract and/or these Terms, neither party shall actively solicit for employment any employee, director, shareholder, adviser or contractor of the other party involved in this program without the written approval of the other Party..
Non-Solicitation of Customers: The Referrer shall not, for three (3) years post-termination of the Referrer Contract and/or these Terms, solicit any customer for products or services that compete directly or indirectly with the unconnected.org.
B. Intellectual property (IP) and branding
Limited license: unconnected.org grants a non-exclusive, revocable license to use the unconnected.org’s name/logo solely for making referrals.
Approval: Referrers must not create marketing materials, online or social media pages using unconnected.org branding, or its vendor’s brand(s), without prior written approval.
All IP remains the sole property of unconnected.org.
C. Data protection and privacy
Lawful basis: The Referrer warrants they have a lawful basis to share lead data. They must inform the lead that their contact details will be shared with unconnected.org and also inform the lead that they may earn a commission from the process of the referral.
Data minimization: Referrers shall only provide the minimum necessary info, as outlined.
Data storage and use of data: Both Parties agree to not share information about the lead in contradiction for the purpose it is intended in these Terms and at a very minimum to the data protection laws of the country of the lead. The Parties also agree to store the data with security level appropriate for the sensitivity of the data as well as for adherence to data protection laws.
D. Limitation of liability and indemnification
Indirect damages: Neither party shall be liable for indirect, incidental, or consequential damages including loss of profits unless laws related to fraud or negligence are broken.
Liability cap: Total aggregate liability for both Parties is limited to the total commissions paid to the Referrer in the 12 months preceding a claim.
Indemnity: The Referrer shall indemnify unconnected.org against claims arising from breaches of the Independence Rule, Anti-Bribery Policy, or Data Protection laws as well as for breaches of the usage of unconnected.org’s vendors brand(s) or for misrepresenting the nature of the relationship with unconnected.org or its vendors set out in these Terms.
E. Termination and force majeure
Termination: Either Party may suspend or terminate the Referrer Contract or these Terms at any time for convenience, subject to the terms listed with survivability.
Force majeure: Neither party is liable for failure to perform (except payment) due to events beyond their reasonable control (natural disasters, pandemic, war, global outages).
F. Dispute Resolution and Governing Law
Escalation: The Parties agree to attempt amicable resolution via senior management negotiations for ninety (90) days before pursuing legal action.
Governing law: This agreement is governed by the laws and courts of England & Wales.
Adherence to local laws: Nothing in these Terms absolve either Party from adhering to the local laws and regulations of the country where the activities are to be conducted.
H. Entire agreement
This Agreement, including the signed Referrer Contract and these Terms, constitutes the entire agreement between the Parties. It supersedes all prior agreements, oral or written representations, and understandings between the Parties relating to the Referral Program. No amendment or modification of this Agreement shall be valid unless made in writing and signed by an authorized representative of both Parties.
H. Severability
If any provision of these Terms is held by a court or other competent authority to be invalid, illegal, or unenforceable in whole or in part, the validity and enforceability of the remaining provisions of these Terms (and the remainder of the provision in question) shall not be affected and shall remain in full force and effect.
J. Other general terms and conditions
Language: At times these terms may be translated into languages other than English. If a contradiction between the translation and English original occurs the English version will hold precedent.
Electronic executions: Electronic signature and email may be considered binding subject to adherence to local laws.
Right to amend these terms: unconnected.org reserves the right to change these Terms at any time and publish the revised version on its website www.unconnected.org in the Support section or a similar location. The new version will apply to replace these Terms in their entirety. unconnected.org will make best efforts to communicate the changes to Referrers however by accepting these Terms the Referrer acknowledges their responsibility to maintain knowledge of the Term made available at all times.
Frequently Asked Questions (FAQ)
If any of the FAQs contradict the Terms, the Terms shall prevail.
Who can participate? Anyone individual who is outside of unconnected.org who has a professional network that aligns with our mission of bridging the digital divide and who remains arms length form the customer they are referring to unconnected.org.
What is the process to receive my referral commission? unconnected.org’s finance team will provide a report within 14 days of the end of each calendar quarter to the Referrer of the collected cash from the referred client(s) and the subsequent commissions payable to the Referrer. This will be the sole “source of truth” when calculating the commissions. What happens if the Referrer disputes their commissions? unconnected.org’s finance team will provide a report of the collected cash from the referred client each calendar quarter, and this will be the sole “source of truth” when calculating the commissions. Referrers are welcome to check with their referred clients and in the event of a dispute unconnected.org may, at its sole discretion, provide the banking details to the Referrer, limited to once per 12 months period per referred client.
What happens if the referred customer pays late? The commission will be paid in the next commission payment cycle, as long as it remains within the Commission Period. unconnected.org pays upon all collected cash that is collected within the Commission Period subject to the referred customer meeting the Minimum Collected Cash criteria.
What happens if the referred customer leaves? The commission will cease at the point the customer leaves. The customer will remain linked to the Referrer in our systems, so if they return again and generates collected cash for unconnected.org within the Commission Period, the commission will start again for the Referrer. The commission will still cease at the end of the Commission Period. The Commission Period will not extend and remains 12 months from the date of the Official Confirmation of Referred Lead Email.
Can I refer my own company or my wife or friend’s company? No. To maintain transparency and avoid conflicts of interest our Arms Length rules outlined in Section 2A must be maintained. You cannot refer an organisation where you or a family relation or friend hold a position of influence (Director, Employee) or ownership (Shareholder).
Do I need a written agreement? Yes. Before an introduction is officially recognised, you must sign a Referrer Agreement Contract outlining the terms and conditions for both parties.
Does my lead need a written agreement? The referred customer needs to have accepted our terms and conditions, which usually occurs when they make a payment, or activate a service. The Referrer won’t need to play a role in having customers sign contracts.
What if the referred customer grows slowly over the first 12 months? The referral commission will only be paid on the collected cash brought in over the first 12 months regardless of the customer’s growth pattern and only after they reach the Minimum Cash Collected criteria. We are incentivizing sales to make an immediate impact now, and not promises for the future. The Referrer is welcome to help accelerate the revenue.
What if the referred customer does not start with an order exceeding US$1,000 and 10 service lines or its local currency equivalent? Then the Commission Period won’t start until they do. However we will pay for previously collected cash that did not reach the Minimum Cash Collected criteria in previous months once they exceed the criteria, back to the beginning of the Commission Period.
What do I need to do after making the referral to unconnected.org? In theory not much, however the more you can help the sales process, typically the fastest that commission can be realised. You will never need to support the customer operationally and can always push customer enquiries to support@unconnected.org.
